TERMS AND CONDITIONS SET FORTH HEREIN (THE “PARTNER TERMS”) ARE A LEGAL CONTRACT BETWEEN YOU AND CONCIERGE CAREER SERVICES, INC. (“CCS,” “WE,” “US,” OR “OUR”). THE CCS REFERRAL PARTNER PROGRAM (THE “PROGRAM”) ALLOWS APPROVED INDIVIDUALS, ORGANIZATIONS, AND CONTENT CREATORS (EACH, A “REFERRAL PARTNER,” “YOU”) TO REFER NEW CLIENTS TO CCS PRODUCTS AND SERVICES IN EXCHANGE FOR REFERRAL-BASED COMPENSATION AND CERTAIN PARTNER BENEFITS, SUBJECT TO THESE PARTNER TERMS. THESE PARTNER TERMS APPLY TO YOUR APPLICATION TO, APPROVAL FOR, AND PARTICIPATION IN THE PROGRAM. BY SUBMITTING AN APPLICATION, ACCEPTING APPROVAL, ACCESSING PROGRAM MATERIALS, USING A REFERRAL CODE, OR OTHERWISE PARTICIPATING IN THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE PARTNER TERMS, AS WELL AS CCS’S GENERAL TERMS & CONDITIONS AND PRIVACY POLICY, WHICH ARE INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE PARTNER TERMS, DO NOT APPLY FOR OR PARTICIPATE IN THE PROGRAM.

The words “you,” “your,” “user,” “client,” or “Referral Partner,” whether or not capitalized, as used herein, refer to all individuals and/or entities applying for, approved for, accessing, or participating in the Program for any reason. “CCS Products and Services” includes, without limitation, SkillSync AI, ConciergeJobSearch, MyConcierge, and any other paid offerings made available by CCS from time to time.

Changes.

CCS may, from time to time, make changes to the Program and/or these Partner Terms at any time, including changing, updating, or adding or removing provisions of these Partner Terms. The “Last Updated” legend above indicates when these Partner Terms were last changed. If we make a material modification to these Partner Terms, we may notify you through the email associated with your account or application. Any such changes will not apply to any dispute between you and us arising prior to the date on which we posted the revised Partner Terms incorporating such changes, or otherwise notified you of such changes. By participating in the Program after CCS has updated these Partner Terms, you are agreeing to the updated Partner Terms; if you do not agree with any of the updated Partner Terms, you must stop participating in the Program and discontinue use of your referral code.

Eligibility.

Participation in the Program is by application and approval only, at CCS’s sole discretion. Referral Partners must be at least the age of majority in the jurisdiction in which you reside (or are organized, if an entity) in order to participate in the Program. By applying for or participating in the Program, you represent, acknowledge, and agree that you are at least the age of majority in the jurisdiction where you reside (or are organized, if an entity) and have the right, authority, and capacity to agree to and abide by these Partner Terms. You also represent that you will participate in the Program in a manner consistent with any and all applicable laws and regulations. CCS may terminate these Partner Terms and your participation in the Program without notice if we, in our sole discretion, believe that you are not at least the age of majority in the jurisdiction where you reside (or are organized, if an entity), or have otherwise violated these Partner Terms.

Qualified Referrals.

A “Qualified Referral” occurs only when (i) the referred client uses your unique referral code at the time of purchase, (ii) the referred client completes the purchase of a paid CCS product or service, and (iii) the transaction is not cancelled, refunded, disputed, or subject to chargeback. Referrals that are not accurately tracked and attributed through the referral code will not qualify for compensation. CCS reserves the right to determine, in its sole discretion, whether a referral is a Qualified Referral, including in cases of suspected fraud, abuse, or improper attribution.

Referral Fees and Payouts.

Referral Partners may earn cash referral compensation for Qualified Referrals. Unless otherwise communicated by CCS in writing, compensation is provided as a flat cash payout per Qualified Referral. Payout timing, payout method, and applicable referral fee amounts will be provided upon approval and may be updated from time to time. No minimum payout threshold applies. CCS may withhold, deny, delay, reverse, or reclaim payouts for transactions that are refunded, disputed, charged back, suspected of fraud, or otherwise determined by CCS not to be a Qualified Referral. Any earnings examples are illustrative estimates only and are not a guarantee of income or results.

Partner Discount.

Subject to eligibility and completion of the Partner Activation Requirement, Referral Partners may receive a fifty percent (50%) discount on CCS products and services for personal use only (the “Partner Discount”). The Partner Discount is non-transferable and may not be resold, shared, sublicensed, or advertised as a public promotion. CCS reserves the right to modify or revoke the Partner Discount at any time.

Partner Activation Requirement.

As a condition to receiving (a) the Partner Discount and (b) the twenty percent (20%) referral fee for Qualified Referrals, approved Referral Partners must complete a Partner Activation Requirement. The Partner Activation Requirement consists of publishing two (2) posts on your primary social media platform, defined as the platform on which you have the most followers, friends, or subscribers: (1) an announcement that you are now a Referral Partner for Concierge Career Services, and (2) a post that links to at least one CCS core service: SkillSync AI, ConciergeJobSearch, or MyConcierge. Posts do not need to be scripted, sponsored, or promotional; however, all statements about CCS must be accurate, truthful, and not misleading. CCS reserves the right to verify completion of the Partner Activation Requirement (including requesting links, screenshots, or other reasonable proof) before enabling the Partner Discount and/or referral fees. If you do not complete the Partner Activation Requirement, you will not be eligible for these benefits until the requirement is satisfied.

Promotion Standards and Conduct.

You agree not to misrepresent CCS services, pricing, features, or outcomes and agree not to engage in spam, misleading claims, deceptive marketing practices, or any activity that violates applicable laws, regulations, or platform policies. CCS may suspend or terminate your participation in the Program for conduct that CCS determines, in its sole discretion, to be unethical, misleading, harmful to clients, or harmful to the CCS brand.

No Guaranteed Earnings.

CCS does not guarantee referral volume, conversion rates, or earnings of any kind. Your participation in the Program is at your own risk.

Relationship of the Parties.

Nothing in these Partner Terms creates an employment, agency, partnership, or joint venture relationship between you and CCS. You have no authority to bind or obligate CCS in any manner.
